In the area of Commercial Law, we advise our clients from the moment of incorporation of companies. In this emerging period, we undertake tasks such as drafting the bylaws and other essential documents which govern the companies’ existence and functioning (partnership agreements, investment agreements, internal regulations, syndication agreements, etc.)

At a later stage and on a regular basis, we grant permanent legal assistance, lead negotiation processes and draft all types of contracts necessary for the development of the commercial activity. We also manage board of directors/shareholders’ meetings and we design and execute all kinds of corporative transactions (capital increases and reductions, distribution of dividends, statutory modifications, restructuring operations and winding-up proceedings).

Moreover, when legal grounds exist, we help our clients to challenge corporate resolutions and to bring action against directors.

In García-Saavedra Abogados we have experience in venture capital and in particular, in advising listed companies registered with the National Securities Market Commission (“CNMV”), as well as SOCIMIS, which are Spanish-listed companies specifically designed to invest in the real estate industry and listed in the Spanish multilateral trading market (“MAB”).

Also, we are experts in regulations on the prevention of money laundering and terrorist financing and we represent clients before the Commission for the Prevention of Money Laundering and Monetary Offences (SEPBLAC).

Last but not less important, we draft and implement compliance policies and programs to minimize existing and potential risks.
